 Legislators have created a fixed upper limit on the types of company that can be formed (GmbH, AG, PartG, KG, oHG, GbR etc). However, this does not relieve lawyers of their duty to their client to take these legally permitted configurations and customise them. The foundations for the successful functioning of a company are to be found in the setting of personal and industry-specific goals on the one hand and in preliminary planning as regards tax law on the other. The conceptual anticipation of possible partner disputes is just as vital as expert succession planning for the death of a partner. Once this is in place, the company law ‘dress’ will fit.
